1. Acceptance of Terms
By accessing or using any service offered by Midwest Logistics Company ("Midwest Logistics", "we", "us"), including our website, tracking portal, shipment services, and mobile applications, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our services.
2. Services
Midwest Logistics provides freight forwarding, customs brokerage, warehousing, supply chain management, and related logistics services. Specific service terms, rates, and conditions are governed by individual service agreements, quotes, and shipping contracts entered into between Midwest Logistics and the customer.
3. Customer Responsibilities
You agree to:
- Provide accurate, complete, and lawful information for all shipments and service requests
- Comply with all applicable import, export, and customs regulations in your country and the destination country
- Not ship prohibited, illegal, or restricted goods without proper licensing and disclosure
- Maintain the security of any account credentials we provide
- Pay all applicable charges, duties, and taxes as agreed in your service contract
4. Prohibited Shipments
We do not accept for transport: controlled substances, firearms or weapons without proper licensing, counterfeit goods, materials violating intellectual property rights, live animals outside of approved programs, human remains without proper documentation, or any goods whose transport violates applicable law. Midwest Logistics reserves the right to refuse or return any shipment at its sole discretion.
5. Liability Limitations
Our liability for loss, damage, or delay of cargo is limited as set forth in your specific service agreement and, where applicable, by international conventions including the Warsaw Convention, Montreal Convention, CMR, or Hague-Visby Rules. We strongly recommend cargo insurance for all shipments. We are not liable for consequential, indirect, or special damages in any circumstances.
6. Payment Terms
Payment is due as specified in your service agreement or invoice. Late payments are subject to interest at 1.5% per month on the outstanding balance. We reserve the right to suspend services for accounts more than 30 days past due. All prices are exclusive of applicable taxes, duties, and surcharges unless explicitly stated.
7. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including but not limited to: natural disasters, wars, government actions, strikes, pandemics, port congestion, carrier failures, or infrastructure outages. We will notify affected customers promptly and work to minimize disruption.
8. Website Use
Our website and tracking tools are provided "as is" for informational and operational purposes. You may not scrape, copy, or redistribute our content without written permission. Unauthorized access attempts or interference with our systems may result in civil and criminal prosecution.
9. Governing Law & Disputes
These Terms are governed by the laws of the State of Illinois, United States. Disputes not resolved through direct negotiation shall be submitted to binding arbitration in Chicago, Illinois under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email or prominent website notice at least 30 days before taking effect. Continued use of our services after that date constitutes acceptance of the updated Terms.
